EZonlineFiling.com Affiliate Agreement

This document is a legal agreement between you and EZonlineFiling, LLC

By signing up as an affiliate of EZonlineFiling.com, you are agreeing that you have read and understand the terms and conditions set forth in this agreement and that you will be legally responsible for each and every term and condition included herein.

Overview
This agreement contains the complete terms and all conditions that apply to you as an affiliate of EZonlineFiling.com.
Enrollment
To become an affiliate, the applicant must complete all of the online process and questionnaire related to becoming an affiliate. Each affiliate applicant will be evaluated on a case by case basis and there are certain situations where EZonlineFiling.com will deny affiliate status to an applicant. The following list is not all inclusive; however it shows certain circumstances that are not acceptable. We will not accept any site that promotes or links to another site with illegal activities, sites that promote discrimination or sites that contain sexually explicit materials. Additionally, any applicant who has a domain name that we feel is too similar to the URL of EZonlineFiling.com or any of its other owned properties will be rejected.
Rejection of affiliates
EZonlineFiling, LLC reserves the right to reject affiliates based on our sole discretion if we feel that your site is unsuitable for any reason, without cause or explanation.
Processing orders
EZOnlineFiling.com will process all orders placed by customers who are linked to our site from yours. We will be responsible for any and all aspects of the order, including processing and fulfillment, customer service, billing, refunds, etc.
Commissions
Commissions will be earned on a per sale basis for any limited liability company packages or incorporation packages as outlined in our commission payout schedule.

Fee Schedule
The current fee schedule relates to LLC and Incorporation package sales and is shown in the chart below. This fee schedule is subject to change without notice. All calculations and payouts are based on a calendar month.

Payable commissions
Commissions are paid on orders that have been completed. This means the order has been placed, paid for, processed and shipped. Refunds requested by customers are subtracted from payable commissions, if the refund is granted. There is no hold placed on payable commissions and there is no minimum required for payment.
Keyword buys
Affiliates are permitted to buy keywords on search engines to promote their site or to directly send customers to EZonlineFiling.com. However, affiliates may not buy keywords which we find to be similar to the EZonlineFiling.com URL or our other owned URLs.
Indemnification
EZonlineFiling.com does not accept any responsibility for any materials or claims related to the affiliate’s website. The affiliate assumes all responsibility for its site and agrees to hold EZonlineFiling, LLC, its owners and employees harmless in any event resulting from or arising out of the affiliate’s use of our materials or relating to any aspect of the affiliate website.
Term and termination
This agreement may be terminated by either party, without notice or cause. Any commissions earned up to the point of termination will be paid on the regular commission payout schedule.
Governing law
This agreement is to be governed by and enforced in accordance with the laws of the state of Tennessee. Any action related to this agreement must be brought in state or federal courts located in Memphis, Tennessee.
